TERMS OF SERVICE

IMPORTANT – PLEASE READ CAREFULLY BEFORE USING, UTILIZING, AND/OR OPERATING THE SERVICES (AS DEFINED BELOW). THESE TERMS OF SERVICE ("TOS") CONSTITUTE A LEGAL AGREEMENT GOVERNING THE RELATIONSHIP BETWEEN YOU (used interchangeably with "User") AND PT Masadepan Indonesia Digital, A COMPANY DULY ESTABLISHED UNDER THE LAWS OF THE REPUBLIC OF INDONESIA (used interchangeably with "Company", "we", or "us") FOR Ezfiles WHICH IS OWNED AND OPERATED BY US FOR THE PURPOSE OF A DOCUMENT AND FILE PROCESSING PLATFORM, INCLUDING COMPRESSION, CONVERSION, AND OTHER SERVICES ("APPLICATION"), AND ANY OTHER RELATED FEATURES, SOFTWARE, OR DOCUMENTATION (COLLECTIVELY REFERRED TO AS THE "SERVICES") PROVIDED BY US, OUR SUBSIDIARIES, THIRD-PARTY SUPPLIERS, AND/OR LICENSORS, UNDER THE NAME Ezfiles.

BY USING, UTILIZING, AND/OR OPERATING THE SERVICES, YOU AGREE TO BE BOUND BY THIS TOS, INCLUDING THE DISPUTE RESOLUTION PROVISIONS, THE TERMS OF USE FOR EACH SERVICE, AND THE PRIVACY POLICY WHICH IS AN INTEGRAL PART OF THIS TOS. IF YOU DO NOT AGREE WITH THE TOS, DO NOT USE, UTILIZE, AND/OR OPERATE THE SERVICES. WE RESERVE THE RIGHT TO MODIFY THIS TOS AT ANY TIME, INCLUDING TO ENSURE THE NECESSARY RIGHTS AND/OR TO CLARIFY THE RESPONSIBILITIES BETWEEN YOU AND US IN THE EVENT OF ANY CHANGES TO THE SERVICES OR THE OPERATION OF THE SERVICES. IF YOU CONTINUE TO USE, UTILIZE, OR OPERATE THE SERVICES OR FAIL TO DELETE THE SERVICES AFTER SUCH CHANGES TO THE TOS, YOU AGREE TO BE BOUND BY THE APPLICABLE TOS AS AMENDED. IF YOU DO NOT AGREE WITH THE CHANGES TO THE TOS, YOU MUST CEASE USING THE SERVICES. THIS TOS APPLIES TO EVERY USER WITH ANY TYPE OF SUBSCRIPTION, ACCORDING TO THE RELEVANT PROVISIONS.

IF YOU ARE AGREEING TO THIS TOS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY, ITS SUBSIDIARIES, AND ALL USERS WHO ACCESS THE SERVICES THROUGH YOUR ACCOUNT TO THIS TOS. IF YOU DO NOT HAVE SUCH AUTHORITY, YOU ARE NOT PERMITTED TO USE THE SERVICES.

Use of the Services:

Service Features

The Application offers Services to process your electronic documents with various capabilities. You can upload the files you choose, then you can compress your files through our Services, convert your chosen files to other file formats that we offer and you select, and/or other services as we offer to you in the Application.

The processing of your documents on our Services depends on the type of file you upload, your internet connection, and other factors. The upload time, processing time, processing results, and success of the document processing depend on many factors, and the features and results of the Services in our promotional materials, if any, to the extent permitted by law, do not constitute a legally binding promise, and are only for our marketing purposes. You acknowledge this and by agreeing to this TOS, you agree to this and release us from all claims, lawsuits, and other liabilities in this regard.

The Service is intended for personal use as well as other legitimate/legal interests by humans. Use of the Service that we deem to exceed what is reasonably necessary or required for personal purposes or other legitimate interests by humans may be reviewed, and we may temporarily suspend, permanently revoke your access to the Service, and/or take other actions to the extent permitted by applicable law.

Service Processing Results

After you process your documents in the Application, you can download the documents according to the features you selected in the Application. The documents you upload will be stored on a secure server that we control for retention and service purposes for you. These documents will be automatically deleted by our system 2 (two) hours after you first upload them. You are required to understand this feature for your privacy and data security, so we are not responsible for anything that occurs as a result of the implementation of this feature.

Prohibited Activities.

You may not:

• Reverse engineer, decompile, disassemble, or attempt to discover the source code or algorithms of the Services;
• Modify or disable features of the Services;
• Create derivative works based on the Services;
• Rent, lease, lend, sublicense, or provide commercial hosting services with the Services;
• Violate our or any third party's intellectual property rights in connection with your use of the Services (to the extent that such use is not licensed by this TOS);
• Use the Services in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with this TOS, or act fraudulently or maliciously, for example, by hacking or inserting malicious code, including viruses or harmful data, into the Services or any operating system;
• Use the Services in a way that could damage, disable, overburden, impair, or compromise our systems or security or interfere with other users;
• Collect or harvest any information or data from the Services or our systems or attempt to decrypt any transmissions to or from the servers running the Services;
• Process documents through our Services at a rate that exceeds what a human can reasonably produce using manual means and conventional devices. We may investigate any account we suspect of violating this provision;
• Launch any automated program or script, including, but not limited to, web spiders, web crawlers, web robots, web ants, web indexers, bots, viruses, or worms, or any program which may make multiple server requests per second, or create a heavy burden or hinder the operation or performance of the application. This includes the use of automated as well as non-automated scraping processes.

By using this Service, you also explicitly agree not to engage in the following activities:

• Violence or Threats: Users may not engage in activities that promote violence, harm, discrimination, or threats against others, for any reason, whether within the application or in connection with anything else.
• Unauthorized Marketing or Solicitation: Users may not engage in unauthorized marketing, advertising, or solicitation within the application, including sending unsolicited messages or communications to other users.
• Violation of Legal Regulations: Users must comply with all local, national, and international laws, rules, and regulations when using the Application, including laws related to the use of the Services, privacy, and intellectual property rights.
• Violation of Terms of Service: Users may not violate the terms and conditions outlined in the application's TOS, including this list of prohibited activities.
• Disruptive Behavior: Users may not engage in disruptive behavior within the application, including but not limited to hate speech, harassment, spam, or other actions that could negatively affect the experience of other users.
• Unauthorized Access or Hacking: Users may not attempt to gain unauthorized access to the application's systems, servers, databases, or related technologies, or engage in hacking or attempts to compromise the application's security.
• System Abuse: Users must refrain from attempting to manipulate or abuse the system, including exploiting its software or hardware vulnerabilities or engaging in behavior that could compromise the intended use of the system.
• Unauthorized Commercial Use: Users may not use the Application for commercial purposes without explicit permission, such as advertising, promotions, or other profit-oriented activities.
• Use of False Identity (Fraud): Users may not use false, incorrect, or another person's identity or information unlawfully and/or without that person's consent, including but not limited to the User's legal identity, User's contact information, and so on.

If a user is found to be engaged in any of the activities mentioned above, the Company reserves the right to take action against any act deemed to be abusive in this regard. Additionally, the user may be held liable for any losses we incur, including costs from external entities due to the violation, such as attorney's fees and other costs.

The Company may also enforce such measures for any illegal activity not listed above, especially in the case of an order from a competent authority, in accordance with applicable laws and regulations.

User Responsibility:

You are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your account. You agree to immediately notify us of any unauthorized use or security breach of your account.

This Service is intended for use by persons aged 18 years or older, or persons under the age of 18 (hereinafter referred to as a "Minor") who have obtained permission from a parent or legal guardian to use the Service (i.e., to open, operate Ezfiles), and/or are considered adults under applicable law.

If you are a Minor, you must obtain consent from your parent or legal guardian, their acceptance of these Terms and their agreement to take responsibility for: (i) your actions; (ii) any fees associated with your use of the Service; and (iii) your acceptance and compliance with these Terms. If you do not obtain consent from your parent or legal guardian, you must stop accessing and/or using Ezfiles.

The Service is intended for use by individuals. The creation of an account by "bots" or any automated process is not permitted and will be terminated.

Each user is solely responsible for all of their actions in connection with the Service.

If you are a parent or guardian providing permission to a Minor to use the Service, you agree to:

• Supervise the Minor's use of the Service;
• Assume all risks associated with the Minor's use of the Service;
• Assume any liability arising from the Minor's use of the Service;
• Ensure the accuracy and truthfulness of all information submitted by the Minor or, if required by the laws of your jurisdiction, submit all necessary information truthfully and accurately on behalf of the Minor; and
• Assume responsibility for and be bound by this TOS for the Minor's access and use of the Service. Furthermore, whether as a user or as a parent or guardian providing permission to a Minor, you expressly waive any right under applicable law to cancel or revoke any permission granted under this TOS or at any time during the use of the Service.

Data Collection, Privacy Policy, and Security Measures:

The Ezfiles Privacy Policy can be accessed on the Privacy Policy page. By using, utilizing, and/or operating Ezfiles, you explicitly and legally consent to our Privacy Policy (which is an inseparable part of this TOS), including our policies on data collection, processing, and/or security measures, where relevant. You may exercise the rights described in the Privacy Policy.

Execution of the Service:

Ezfiles is designed to provide a seamless experience with its diverse features. We retain the option to appoint or assign the administration of certain features or the entire Application to a third party designated by us. This includes data sharing and data processing by the third parties we appoint, in accordance with our Privacy Policy and applicable law. By agreeing to this TOS (and its Privacy Policy), you consent to the processing of your personal data by Us and/or the personal data processors we appoint. In the event of a breach or security incident caused by these third parties, we will promptly take steps to mitigate risks and strive to ensure full compliance with legal obligations. Such third parties are bound by contractual obligations to indemnify us for any damages caused by their failure to protect your data.

Disclaimer of Warranties:

To the extent permitted by applicable law, the Service is provided "as is" and on an "as available" basis, without any kind of warranty from us, whether express or implied.

To the extent permitted by applicable law, we make no warranties or representations about the accuracy, reliability, timeliness, or completeness of the Service's content, the content of any sites linked to the Service, aspects of the Service derived from third parties (specifically, but not limited to, leased servers or third-party hardware), information, or other items or materials on the Service or linked by the Service. We disclaim all other warranties or conditions, whether express, implied, or statutory, including, but not limited to, implied warranties or conditions of satisfactory quality, fitness for a particular purpose, reliability or availability, accuracy, absence of viruses, freedom from interference, non-infringement of third-party rights, or other rights violations.

Specifically, despite our best efforts, we do not guarantee the reliability of the Service (availability, accuracy) and do not guarantee the security of user data despite our best efforts to protect such data.

We are not responsible for (a) errors, mistakes, or inaccuracies related to the information and materials you process on the Service, (b) personal injury or property damage arising from the use of the Service, (c) unauthorized access to or use of our secure servers and/or any personal information stored therein, (d) interruptions or disruptions in data, messages, or transactions due to service interruptions or performance issues, including those caused by third-party providers, (e) malicious software or harmful elements that may be transmitted through the Application by third parties, and/or (f) errors or omissions in document processing, or any loss or damage arising from the use of information from processed documents (before or after being processed by the Service) made available through the Application.

We do not control, and are not responsible for, any data, content, services, or products (including software) that you access, download, receive, or purchase while using the Service. Furthermore, you will not sue the company or seek damages if confidential material is inadvertently released as a result of a security failure or vulnerability in the Service.

By operating/utilizing the Service, we do not represent, control, imply that we endorse, or take responsibility for any material, item, data, content, service, or product available on or linked by the Service, including without limitation, content hosted on third-party sites that you access, download, receive, or purchase while using the Service, or that we believe any of the foregoing is accurate, useful, or not harmful. We cannot guarantee and do not promise any specific results from the use of the Service. No advice or information, whether oral or written, obtained by you from us shall create any warranty not expressly stated in this TOS.

You agree that your use of the Service will be at your own risk. To the fullest extent permitted by law, we and any advertisers, licensors, suppliers, officers, directors, investors, employees, agents, service providers, and other contractors disclaim all warranties, express or implied, in connection with the Service and your use thereof.

No advice or information, whether oral or written, obtained by you from us or our affiliates will be deemed to alter this disclaimer of warranty by us regarding the Service, or to create any warranty from us.

Limitation of Liability:

We and you do not limit or exclude liability for any type of loss or damage for which liability cannot, under applicable law, be excluded or limited, to the extent that applicable law prevents such exclusion or limitation, or to the extent that a court of competent jurisdiction rules that such exclusion or limitation would be ineffective under applicable law.

Subject only to the foregoing provision, we shall not be liable for any loss, damage, or liability under contract (including negligence), laws regarding third-party liability (including tort and negligence claims) or statutory duty or any other legal basis, even if we have been specifically advised of the risk of such loss for (i) any loss that is indirect, incidental, special, consequential, or includes exemplary or punitive damages, or (ii) for any loss of profit, loss of business, loss of opportunity, loss of data, or (iii) where the loss is related to errors, omissions, or interruptions, computer viruses, connection or connectivity issues, or network charges.

Subject only to the foregoing provisions, Ezfiles' total financial liability to you arising out of or in connection with this TOS, the Service, or any related matter shall not exceed the amount you have paid to the Company or its affiliates specifically for the acknowledged part of the Service.

You acknowledge that the above provisions are reasonable given the benefits of the Service and that you will accept such risks and/or insure against them as appropriate.

Indemnification:

You agree to indemnify, defend, and hold harmless Us, our owners, subsidiaries, affiliates, contractors, vendors, employees, and agents from any claims, losses, damages, liabilities (including reasonable legal fees and costs) arising from your use or misuse of the Service, your violation of the rights of any third party, or any violation of this TOS.

You expressly agree that you will waive any class action lawsuit against the Service, and that all (if any) proceedings against the Service that occur, will be addressed on an individual basis, based on the rules set forth and agreed upon in this TOS.

Governing Law and Dispute Resolution:

This TOS shall be subject to all substantive legal provisions of the Republic of Indonesia.

For any dispute you have with us, you agree to first contact us and attempt to resolve the dispute informally ("Initial Dispute Resolution"). We agree to resolve any dispute arising from or in connection with this TOS directly through consultation and negotiation in good faith, which shall be a precondition before either party initiates further dispute resolution.

Any controversy, claim, or dispute arising out of or relating to the execution or interpretation of this TOS that cannot be amicably resolved in the Initial Dispute Resolution, shall be subject to the jurisdiction of the competent courts in Central Jakarta.

Any inconsistencies between the English and Indonesia version of this TOS (and Privacy Policy), the Indonesia version will prevails.

Updates and Modifications:

We may, at any time, provide or make available updates or upgrades to the Service ("Updates"), including but not limited to bug fixes, service improvements, new features, removal of existing functions, or modifications to the Service. Updates will be subject to this TOS unless separate terms and conditions are specified with such Update, in which case, those separate terms and conditions shall govern the Update. Updates for security software or critical bug fixes or other important Updates may be automatically downloaded and installed given the importance of receiving such Updates promptly to help protect you and other users. You, as the user, give consent to receive such Updates as part of using the Service. We have no obligation to provide support or maintenance for the Service under this TOS.

We expressly reserve the right to change, suspend, remove, limit the use of, or disable access to the Service or any part of the Service at any time without notice or liability. Suspension, limitation of use, or disabling of access to the Service due to your violation of this TOS will not be compensated in any way.

We may change this TOS from time to time. If you do not agree with the proposed changes, you should discontinue your use of the Service and delete the application. If you continue to use the Service after the new terms take effect, you will be bound by the amended TOS.

No Waiver:

A waiver by us or our delay or failure to file a claim against a breach of any provision in this TOS or in exercising a right granted in this TOS shall not be deemed a waiver with respect to any substantial breach of any provision in this TOS.

Severability:

If a court or other competent legal body determines that certain parts of this TOS are invalid or unenforceable, those specific provisions, unless they significantly affect the overall intent and purpose of the TOS or are addressed differently herein, will be limited or deleted to the minimum extent necessary. They will be replaced with a valid provision that most accurately reflects the intent of this TOS, ensuring that the TOS as a whole remains fully valid and effective.

Final Provisions:

This TOS is effective until terminated. You may terminate this TOS by ceasing to use the Service and deleting, uninstalling, and returning all related software, documentation, and other materials provided by us, including backup copies. If you do not comply with this TOS, your rights under this TOS will automatically terminate without notice from us. Upon termination of this TOS by you or by us, you must immediately cease all use of the Service.

The terms and conditions of this TOS which by their nature should survive the termination of this TOS, including but not limited to clauses concerning Limitation of Liability, Indemnification, and Dispute Resolution, shall remain in effect after the termination of this TOS.
